GENERAL TERMS

1. Voolit's Role & Use of Voolit’s Services

- Voolit allows customers to use services on the Voolit App and Website. The customers must acknowledge that Voolit is a technology services provider and is not providing Professional Services, Voolit helps facilitate transactions that are done on the Voolit App and/or Website. The Professional Services are provided by independent third-party contractors that are not employed by Voolit or any of its Affiliates. Any contractual arrangements fulfilled at the completion or delivery of services by a Professional are solely between the Customer and the Professional.

- By accepting this agreement, the customer agrees to use Voolit services to connect with professionals and obtain Professional Services through the Voolit Platform.

2. Profile Creation

- To use the Voolit Platform & contact directly with Professionals for Professional Services, the Customers must register themselves with online accounts on the Voolit Platform and promptly submit the details required for registration. The Customer warrants that Voolit Registration Data, as submitted by them, will be valid, true, and correct. Upon acceptance of the Registration Data, Voolit will open an account with the name and details provided by the Customer (the "Customer Account"). The Customer shall be solely responsible for the confidentiality of its login credentials and any unauthorized use thereof.

- The Customer agrees to comply with the Registration Data requirements and the other terms of this Agreement. The Voolit reserves the right to decline any Customer registration at the Voolit Platform if the Customer does not provide Voolit with the required information. Voolit reserves the right to decline any Customer registration at its sole discretion. Voolit reserves the right to undertake Voolit checks and diligence as may be required to verify the identity of the Customer.

- The Customer agrees to maintain the security of its Account information such as login credentials and is responsible for all activity in connection with its Account including any unauthorized use thereof.

- The Customer agrees not to use the Voolit Platform for any unlawful or illegal purposes. They must use the Voolit Platform solely under this Agreement and all Applicable Laws. The Customer will be solely liable for any reckless misuse of the Voolit Platform through the Account or otherwise.

- The customer shall not permit any unauthorized third party to use the Voolit platform under any circumstances and must not share his/her Account login details with any unauthorized third party. The Customer will at all times comply with Voolit’s security requirements concerning the use of the Voolit Platform. The Customer agrees to act immediately and inform Voolit of any actual/suspected breach of Voolit Platform security requirements or any improper use/disclosure of the Customer's login credentials.

3. Devices and Communications

- For registration on the Voolit Platform, the Customer is required to use electronic devices (such as a smartphone, PC, or handheld devices), should have a functioning mobile number, the ability to receive Short Message Service (SMS) text messages, and push notifications sent by Voolit (the "Device").

- If the Device used for Voolit is lost or stolen, the Customer must promptly inform Voolit of such an occurrence, to ensure that access to the Voolit Platform via the Device is immediately blocked, suspended, or deactivated. So that, the device can no longer be used to access the Voolit Platform. However, Voolit cannot block, suspend or deactivate the device itself but Voolit can block access to the Voolit Platform from the Device only.

- When we connect a Professional on your behalf via the Voolit Platform, the Customer understands that Voolit keeps track and records those communications for quality assurance, customer satisfaction, and other purposes and the Customer consents to such monitoring and recording.

- When you provide your mobile number to Voolit, you understand and agree that we may connect with transactional and/or informational calls and messages about your use of the Voolit Platform or your connections to Professionals to that number. Such transactional-based calls or text messages may include order confirmation messages and delivery notices with the help of an automated dialing system and/or prerecorded or artificial voice.

- Voolit may request your consent to receive marketing calls or text messages sent to your mobile number. Such marketing calls or texts may include, without limitation, information about services, discounts, sales, or other promotions provided by Voolit to You, and may be made using an automated dialing system and/or prerecorded or artificial voice.

- Additionally, you may opt out of receiving further marketing calls or texts by requesting our call center agent. Message and data rates may apply to these calls or texts.

4. Professional Service Requests

- Voolit is responsible for connecting customers that are seeking services and Professionals that are providing such services sought by the Customer.

- The website enables customers to send a request for Professional Service. Once a Service Request is made, Voolit will send Service Requests to the available Professionals based on their availability and internal allocation processes as solely determined by Voolit. The Service Request may be accepted or declined based on the availability of Professionals for the required location at the requested time.

- Your request is subject to acceptance by a Professional. Once a Professional has accepted the Service Request, Voolit will inform the Customer via an SMS, push notification, or confirmation screen in the Voolit App/Website. If no Professional is available to accept the Service Request, the Customer will be notified in the same manner.

- The following services will be provided through the Voolit Platform

  • o Accepting Service Requests subject to the terms mentioned here
  • o Classifying Professionals to provide Professional Services
  • o Remotely monitoring start and end of service Requests using the Voolit Platform
  • o Receiving and dealing with feedback, & complaints relating to Service Requests
  • o Providing customer support for grievances
  • o Following the terms of this Agreement & any relevant provisions of Applicable Laws, in each case

- The following will be provided by Voolit after acceptance of the Service Request

  • o The Customer will get a booking confirmation through the Voolit Platform, and information related to the Professional, mobile number, a picture of the Professional & any other details Voolit considers appropriate.
  • o The Professional will receive customer details, such as services sought and the location, needed by the Professional to provide the Professional Services.

- Though Voolit requests each Professional to arrive before the requested service time slot, the Customer should contact the Professional through the Voolit Platform or by contacting Voolit via in-App support or at its call center, if there is any delay.

- The Customer agrees that upon accepting the Service Request, Voolit may provide to the Professional, the service location, mobile phone number of the Customer, rating of the Customer, and such other information to enhance and facilitate the provision of Professional Services by the Professional directly to the Customer, and for the Professional to identify the Customer.

- If the Customer needs to cancel/reschedule an assigned Service Request, the Customer must immediately contact Voolit's customer care or may cancel or reschedule an assigned Service Request through the Voolit Platform. However, such cancellations or rescheduling may be subject to applicable cancellation charges.

- The refund of any payments made by You towards the booking of the Professional Services shall be governed by Voolit's Cancellation Policy as provided herein or as updated by Voolit from time to time on the Voolit Platform.

- If any payment was made for the services that are canceled before delivery of services will be refunded minus any applicable cancellation fee communicated at the time of cancellation to the customer. Any refunds post-delivery of services will be at the discretion of Voolit.

- If the Customer requires any assistance concerning the Voolit Platform or any Service Request, they should contact Voolit customer care or email us.

- Any contract for Professional Services will be a contract solely between the Professional and the Customer. At no time will Voolit or its Affiliates have any obligations or liabilities in respect of such a Professional Services Contract between the Professional and the Customer.

5. Customer's Representations

- The Customer undertakes that it shall conduct itself by all Applicable Laws, in a respectful, courteous manner, and allow Professionals a safe and conducive environment to provide the Professional Services.

- The Customer agrees that it will be solely responsible (a) to ensure its safety and security, for the safety and security of the Professionals interacting with the Customer; (b) not to undertake or assist in any unlawful, immoral, or illegal activity; and (c) for any unauthorized use of the Customer's login credentials for the Voolit App/Website, and/or the unauthorized use of the Voolit App or Website whilst using the Voolit App/Website.

- Voolit and the Professional are authorized to charge a Voolit Commission, Service Fee, and other applicable charges for the Voolit Platform and Professional Services as set out herein, and the Professional has agreed to appoint Voolit as its limited payment collection agent to communicate such fees to the Customer. The Customer authorizes Voolit to calculate the Voolit Commission and Service Fee/Total Fee by its internal policies and Applicable Laws. The Customer may contact Voolit (as set out herein) if the recommended Service Fee is not agreeable, however, continued use of the Voolit Platform and using Professional Services shall constitute consent concerning the Voolit Commission as well as the Service Fee/Total Fee and other applicable charges communicated to the Customer on behalf of the Professional.

6. No Discrimination

Voolit prohibits discrimination against Professionals based on race, religion, national origin, disability, sexual orientation, sex, marital status, gender identity, age, or any other characteristic that may be protected under Applicable Laws. Such discrimination includes, but is not limited to, any refusal to accept Professional Services based on any of these characteristics. If it is found that you have violated this prohibition, you may lose access to the Voolit Platform and your Account will be terminated permanently.

7. Voolit's Obligations

Except as expressly stated in this Agreement, Voolit or its Affiliates' obligations include but may not be limited to

  1. (a) Managing and operating the Voolit Platform and through such Voolit Platform facilitating the Customer entering into a contract with Professionals in respect of the Professional's independent business of providing Professional Services;
  2. (b) Being a platform for the Customer to directly contract for Professional Services with Professionals;
  3. (c) Issuing a payment summary to the Customer for the Voolit Commission, Service Fees/Total Fee, and other charges paid by the Customer (as applicable);
  4. (d) Collection of amounts due from Customer as a limited payment collection agent of Professionals in respect of the transactions between Professionals and Customer and for Customer's use of the Voolit Platform in facilitating such transactions.

8. Payment Terms

- The Customer agrees that the payments between the Customer and Voolit will be settled and paid in the manner expressed in the terms here.

- The customer appoints Voolit as its representative to collect the Service Fees/Total Fee (as applicable and set out herein) and acknowledges that Voolit does so on behalf of the Professionals as a limited payment collection agent, and where applicable to otherwise collect the amounts owed to Voolit by the Customer, including the Voolit Commission.

- If requested by the Customer, Voolit will use commercially reasonable efforts in attempting to address any payment-related disputes between the Customer and Professionals. In case of any such dispute, the Customer may at the request of Voolit or on its behalf provide Voolit with any relevant data and information.

9. Confidentiality

- The Customer may have acquired or may acquire in the future, access to Confidential Information of Voolit. The Customer must:

  1. (a) Keep confidential all Confidential Information,
  2. (b) Not use, reveal or disclose Confidential Information to any person except as expressly permitted under this Agreement,
  3. (c) Not remove, reproduce, summarize or copy any Confidential Information except as expressly required by Voolit,
  4. (d) Not sell or disclose the Confidential Information to any third party without Voolit's prior written consent.

- Without limiting the foregoing, the Customer must not copy, download or extract any Confidential Information from the Voolit Platform without Voolit's prior written consent.

10. Privacy

Voolit only stores and processes personal data that is following the Privacy Policy, Applicable Laws, and this Agreement. Please take time to review the Privacy Policy for more information regarding how Voolit and its Affiliates store and process personal data.

11. Customer Content

- The Customer is solely responsible for any notes, messages, e-mails, postings, photos, drawings, profiles, opinions, ideas, images, videos, audio files, or other materials or information posted or transmitted through the Voolit Platform by or on behalf of the Customer ("Customer Content").

- Any Customer Content will be considered non-confidential and non-proprietary. By providing any Customer Content on the Voolit Platform, the Customer grants Voolit and its Affiliates and service providers, and each of their respective licensees, successors, and assigns the right to use, reproduce, modify, perform, publicly display, distribute, and otherwise disclose to third parties any such material for any purpose.

- The Customer represents and warrants that the Customer owns or controls all rights in and to the Customer Content and has the right to grant the license above and that all Customer Content does and will comply with this Agreement.

- The Customer must ensure that such Customer Content complies with all Applicable Laws., Customer Content must not:

  1. (a) contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable;
  2. (b) promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
  3. (c) infringe any Intellectual Property Rights or other rights of any other person;
  4. (d) violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under Applicable Laws or regulations or that otherwise may be in conflict with this Agreement;
  5. (e) be likely to deceive any person;
  6. (f) promote any illegal activity, or advocate, promote, or assist any unlawful act;
  7. (g) cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person;
  8. (h) impersonate any person, or misrepresent your identity or affiliation with any person or organization;
  9. (i) involves commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising; or
  10. (j) give the impression that it emanates from or is endorsed by Voolit or any other person or entity if this is not the case.

- Voolit has the right to:

  1. (a) remove or refuse to post any Customer Content for any or no reason in its sole discretion;
  2. (b) take any action concerning any Customer Content that Voolit deems necessary or appropriate in its sole discretion, including if Voolit believes that such Customer Content violates this Agreement, infringes any Intellectual Property Right or other rights of any person or entity, threatens the personal safety of any person, or could create liability for Voolit or any of its Affiliates;
  3. (c) disclose the Customer's identity or other information about the Customer to any third party who claims that material posted by the Customer violates their rights, including their Intellectual Property Rights;
  4. (d) take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Voolit Platform; and
  5. (e) terminate or suspend the Customer's access to all or part of the Voolit Platform for any violation of this Agreement.

Without limiting the foregoing, Voolit has the right to cooperate fully with any law enforcement authorities or court order requesting or directing Voolit to disclose the identity or other information of anyone posting any materials on or through the Voolit Platform.
